Independent Board Member

Assignee for the Benefit of Creditors

As an ABC, I can liquidate your company assets and effectively distribute the proceeds to creditors.

 

It's a more expedient and private alternative to formal bankruptcy proceedings; allowing the insolvent company to choose me as an assignee to manage the liquidation effectively.

Receiverships Under State Law

A receivership is a legal process where an appointed receiver manages the affairs of a distressed company.

 

Under state law, I can be used in the administration of a receivership to either rehabilitate a struggling business or to oversee its orderly liquidation.

 

My duties may include managing business operations, liquidating assets, and distributing proceeds to creditors.

Sale as a Going Concern

In some cases, a receivership may facilitate the sale of a business as a going concern.

 

This means selling the business in a way that allows it to continue operating, preserving its value for stakeholders.

 

As the receiver in such a situation, I would oversee the sale process, ensuring the business remains fully operational until a transfer to the new business owner is complete.

Liquidation of Companies​

Alternatively, if a business cannot be sold as a going concern, I may be used as the receiver to oversee its liquidation.
 

This involves selling the company’s assets to pay off debts.

 

My goal in this capacity is to maximize the return to creditors and shareholders through an orderly, effective and equitable distribution of the company’s assets.
